Job Description
As a Senior Legal Counsel (m / f / diverse), you will be primarily responsible for providing legal support for ContiTech’s business operations in the EMEA Region (the “Region”) as part of the ContiTech law department.
The position involves providing independent legal advice and support to ContiTech’s business operations in the Region in all legal matters with a strong focus on M&A, as well as collaboration with other members of ContiTech’s Global Law Department across the globe. A Senior Legal Counsel will draft, review, negotiate and manage a wide variety of contracts / documents for ContiTech’s business operations in the Region, and will manage the relationship with external counsels.
Specifically, the legal services to be provided will include the following :
Mergers & Aquisitions :
- Responsibility for legal advice throughout the whole process of a variety of M&A transactions, including acquisitions, divestments, joint ventures and corporate venture capital projects and with respect all businesses of the Continental group worldwide, among others :
- Work closely with relevant departments, potential external counsels and cross-functional partners throughout the life cycle of each project.
- Developing legal assessments, interpretations, recommendations, and opinions on legal tissues arising out of the transaction and potentially impacting the business, providing recommendations for risk mitigation.
- Advising in preliminary / evaluation phase on documentation, like NDAs, release letters, engagement agreements, process letters, (non-binding) indicative offers, defense agreements, market studies for merger control purposes, LoI / MoU.
- Management and execution of legal DD (by him / herself or through a team of internal and / or external counsel).
- Negotiation and preparation of transaction agreement(s), ensuring internal alignment on the content of the agreement. Develop negotiation strategy.
- Advising on regulatory issues, restrictions on an acquisition, appropriate transaction structure.
General legal advice :
Handling legal issues and advising on national and international matters of all ContiTech companies in the Region, embedded in a global team of lawyersIdentification and analysis of legal risks, development and implementation of solutions to avoid, limit or secure them.Follow current legal developments.Professional support of legal colleagues in other jurisdictions in the aforementioned area of responsibility.Contracts :
Drafting, negotiation, review and interpretation of all contracts typical of companies (including contracts of particular strategic importance) in cooperation with the (operational) specialist departments / divisions in German and English, even in complex projects with outstanding importance and required expert knowledgeThis includes both individual contractual provisions from specific business transactions and framework and standard contracts for new business transactions.Comprehensive legal advice on ongoing contractual relationships, including national and international supply and service relationships.Governance :
